Terms of Service

1. Agreement Overview
These Terms of Service ("Terms") are a legal agreement between you and FLAIRE Systems LLC ("FLAIRE," "we," "us," or "our"). By accessing or using the FLAIRE platform, including FLAIRE Orbit, FLAIRE Nova, FLAIRE Atlas, and FLAIRE Vega (collectively, the "Service"), you agree to be bound by these Terms.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Notify us immediately at [email protected] if you suspect unauthorized access to your account.
3. Subscription Plans & Billing
The Service is offered under tiered subscription plans (Trial, Starter, Pro, Enterprise). Plan features, pricing, and limits are described on our Pricing page. We reserve the right to modify pricing with 30 days' written notice.
Trial: 15-day free trial with rate-limited access to all features. No credit card required. Data is retained for 30 days after trial expiration.
Billing: Paid plans are billed monthly or annually in advance. All fees are non-refundable except as required by applicable law. Additional users beyond your plan's included cap are billed at $8/user/month.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to other tenants' data or the Service infrastructure
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to send spam, phishing, or unsolicited communications
- Exceed the API rate limits for your plan tier
- Share API keys or account credentials with unauthorized parties
- Use the AI features to generate harmful, deceptive, or illegal content
5. Data Ownership & License
You retain all rights, title, and interest in the data you upload or create in the Service ("Your Data"). FLAIRE Systems LLC does not claim ownership of Your Data. We process Your Data solely to provide the Service and as described in our Privacy Policy.
You grant us a limited, non-exclusive license to host, store, process, and display Your Data as necessary to provide the Service, including AI processing when you use AI features.
6. Service Level
We target 99.9% uptime for the Service. Enterprise plans include a formal SLA with defined uptime guarantees and service credits. Scheduled maintenance windows will be communicated at least 48 hours in advance via email and the Status page.
7. Cancellation & Data Retention
You may cancel your subscription at any time. Access continues through the end of your current billing period. After cancellation:
- Your data is retained for 30 days (recovery window)
- You may export your data at any time during this window using the built-in export tools
- After 30 days, your data is permanently and irreversibly deleted
We may suspend or terminate your account for material violation of these Terms, with notice where practicable.
8. Limitation of Liability
To the maximum extent permitted by applicable law, FLAIRE Systems LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total aggregate liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
9. Intellectual Property
The Service, including its design, code, algorithms, documentation, and trademarks, is the exclusive property of FLAIRE Systems LLC. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service as permitted under your subscription plan.
10. Indemnification
You agree to indemnify and hold harmless FLAIRE Systems LLC from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
11. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
12. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration administered under the rules of the American Arbitration Association, or in the state or federal courts located in Delaware.
